Terms of Use

These Terms of Use ("Terms") are an agreement between you and NexaTill ("NexaTill", "we", "us") governing your use of the NexaTill point-of-sale application for iPad and Android tablets (the "App"). By creating an account or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.
1. Who we are
NexaTill is operated by an independent developer based in the Philippines. Contact: nexatill.support@gmail.com.
2. Licence to use the App
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, for operating your own business, subject to these Terms and to the rules of the app store you downloaded it from.
3. Your account
- You must provide accurate information and keep your login credentials and owner pincode confidential.
- You are responsible for all activity under your account, including any staff you add (staff sign in by pincode under your account; they do not have their own accounts).
- You must be at least 18 years old and use the App for lawful business purposes only.
4. Subscriptions & billing
- NexaTill offers a free tier and paid Plus, Pro, and Max plans sold as auto-renewing monthly subscriptions.
- The price is shown in the App before purchase. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.
- Your subscription renews automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
- You can manage or cancel your subscription in your App Store or Google Play account settings. Deleting your NexaTill account does not cancel a store subscription.
- Payments, refunds, and billing disputes are handled by Apple or Google under their terms; we do not process or store your payment-card details. Except where required by law, fees are non-refundable.
- We may change plan features or pricing prospectively; we will give notice as required, and price changes take effect only after your consent where the store requires it.
5. Acceptable use
You agree not to:
- use the App for any unlawful purpose or in violation of any applicable law or tax obligation;
- reverse-engineer, decompile, or attempt to extract source code, except as permitted by law;
- interfere with or disrupt the App, our servers, or other users; or
- attempt to circumvent plan limits, security, or authentication.
6. Your data & content
You retain ownership of the business data you enter (products, sales, staff, customers, etc.). You grant us the limited rights needed to store, process, and sync that data to provide the App, as described in our Privacy Policy. You are responsible for the accuracy and legality of the data you enter, and — where you record customer details — for having any consent or notice your local laws require. You can export or permanently delete your data at any time via Settings → Subscription → Delete account.
7. Availability & changes
We work to keep the App reliable but provide it on an "as available" basis. We may add, change, suspend, or discontinue features, and we may update the App for compatibility, security, or improvements. The App stores data locally and can operate offline; cloud sync requires a paid plan and a working internet connection.
8. Disclaimer of warranties
To the fullest extent permitted by law, the App is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that data will never be lost. You are responsible for keeping your own records as your business and local laws require.
9. Limitation of liability
To the fullest extent permitted by law, NexaTill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the App will not exceed the amount you paid us for the App in the 12 months before the claim (or, if you used only the free tier, USD 50).
10. Termination
You may stop using the App and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the App unlawfully. On termination, the licence in Section 2 ends; sections that by their nature should survive (e.g. Sections 6, 8, 9) continue to apply.
11. Apple App Store
If you obtained the App from the Apple App Store, Apple's standard Licensed Application End User License Agreement also applies, and Apple is a third-party beneficiary of these Terms with the right to enforce them. Apple is not responsible for the App or its content, and any maintenance, support, or warranty claims are our responsibility, not Apple's.
12. Philippine users — tax compliance and BIR
NexaTill is a sales- and business-management tool. It is not accredited by the Philippine Bureau of Internal Revenue (BIR), and any receipt, order slip, or other document the App produces is not an official BIR receipt or invoice.
If you operate a business in the Philippines, you are solely responsible for your own tax compliance — including registering with the BIR, issuing official receipts and invoices through BIR-registered or BIR-accredited means, obtaining any Permit to Use or other authorisation the law requires, and filing and paying your taxes. Your decision to use the App for your business is at your own discretion and risk, and using the App does not, on its own, satisfy any BIR or other legal or regulatory requirement.
We are not your accountant, tax adviser, or lawyer, and nothing in the App or these Terms is tax or legal advice. For your specific obligations, please consult a Philippine CPA or tax professional and/or the BIR.
13. Governing law
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. Mandatory consumer-protection rights in your country of residence still apply.
14. Changes to these Terms
We may update these Terms from time to time. We will revise the "Effective" date above and, for material changes, give notice in the App or by email. Continued use after an update means you accept the revised Terms.
